Annual Meeting Instructions

All NOVEC members have an opportunity to vote by proxy to elect the Board of Directors. By assigning a proxy, a NOVEC member gives a member of the NOVEC Board of Directors or another NOVEC member the authorization to cast a vote on their behalf.

This year, Districts 1 and 7 are up for election for a four-year term. Election results will be announced at the conclusion of NOVEC's 2026 Annual Meeting held at the NOVEC Technical Center at 5399 Wellington Branch Dr., Gainesville, Virginia, on Wednesday, September 16, 2026 at 6 p.m. If canceled, the make-up date is Wednesday, September 30, 2026. Call NOVEC's Customer Care Center at 703-335-0500 for details and updates prior to the meeting. 

You can cast your proxy online, by mail, or in-person at the Annual Meeting.

How to Participate Online

Log in to SmartHub and click on the yellow button at the top of your screen. The deadline to assign your proxy is 12 p.m. on Wednesday, September 16, 2026.

How to Participate by Mail

Complete, sign, and mail the entire proxy notice that you received in the mail by Wednesday, September 9, 2026 to NOVEC in the enclosed envelope.

How to Participate In-Person

Bring the proxy form you received in the mail with you and present it at the registration table.

NOTICE OF NOVEC’S 2026 ANNUAL MEETING

Dear Member,

You are hereby notified that the Annual Meeting of the members of Northern Virginia Electric Cooperative will be held in the open, covered truck bays at the NOVEC Technical Center at 5399 Wellington Branch Dr., Gainesville, Virginia, on Wednesday, Sept. 16, 2026, at 6 p.m.

For an official meeting to occur, NOVEC Bylaws require a minimum of 2.5% of our members be present in person or represented by proxy to constitute a quorum. Members will hear reports from the Board of Directors Chairman, the President and CEO, and elect a director for a four-year term from District 1 and from District 7. You may vote for the nominee(s) regardless of where you reside.

If you do not plan to attend the Annual Meeting in person, please visit www.novec.com to assign your proxy online, or mail your signed proxy in the enclosed envelope. If you attend in person, you must bring the enclosed registration card that identifies you as a NOVEC member. If you decide to attend the Annual Meeting after previously submitting your proxy, your registered proxy serves as your official vote.
